Terms & Conditions

  • The Occupant agrees to adhere to any provisions of the lease and sublease of the Offices or rules from time to time established by the sub lessor or the owner of the building at which the Offices are located.
  • The Office Centre will provide reception services, customary office supplies such as light beverages, cleaning services for normal office use (excessive cleaning required as a result of action by the Occupant may be build back to such Occupant as a surcharge) and a general sign identifying the Offices under the name Future Offices.
  • The Occupant acknowledges having had the opportunity to inspect and familiarize itself with the Office Centre, the unit, the shared boardroom facility, the wi/fi and other features of the space generally and accepts the Unit and fixtures on an as is where is basis.
  • The Occupant confirms that the Office Centre may from time to time, at its complete discretion, re-assign the Occupant to a different Unit from the Unit identified in this Agreement.
  • The Occupant acknowledges that it may avail itself of certain additional services offered by the Office Centre including shared boardrooms, photocopy, fax and scan services at an additional cost and specific rules. The pricing of these additional services is subject to change by the Office Centre from time to time on written notice of a price change to the Occupant delivered to the email address specified above. Current rates for these services are attached as Schedule A to this Agreement. The Office Centre will issue invoices for additional services from time to time with charges due upon receipt.
  • The Occupant agrees that should it:
    1. fail to pay any amount payable under this Agreement when due ; or
    2. default in the performance of any other terms or conditions of this Agreement, any rules for use of the Unit or the Offices established from time to time by the Office Centre or any terms of the sublease or the lease of the Offices then the Office Centre shall give written notice of default and allow the Occupant five (5) days to rectify the default and if not cured in such period, it will be in Default of its obligations and the Office Centre may deny the Occupant further access to the Offices, re-enter and possess the Unit and this Agreement may, at the Office Centre’s option, be terminated and the Occupant shall forthwith pay all monies owing up to the date of such termination. In addition, on Default the Office Centre may discontinue any mail forwarding service or voicemail or other services provided to the Occupant. The Occupant hereby authorizes the Office Centre to destroy any personal property that is left by the Occupant at the Offices after termination of this Agreement and specifically authorizes Office Centre to mark “RETURN TO SENDER” any mail received by Office Centre after termination of this Agreement.
  • If the Occupant does not properly vacate the Unit and return same to the Office Centre at the end of the term then the Term of this Agreement will convert from a fixed term Agreement to a monthly Agreement at a monthly fee rate equal to 125% of the then current rate and either party may terminate the Agreement on 30 days’ written notice to the other.
  • The Office Centre may apply the Security Deposit against any amounts due to it by the Occupant. Interest accrues on any amounts unpaid by the Occupant when due at the rate of 2% per month, which is equivalent to 26.82% per annum, until paid in full.
  • The Occupant agrees that no:
    1. pets are allowed within the Offices.
    2. electrical heater and or gadgets with high voltage of any sort that may trigger short circuit/ tripping to be used in the Office Centre.
    3. signs are to be affixed on the doors or outside the Offices.
    4. assigned parking is allotted to the Occupant – parking is under the control of the owner of the building at which the Offices are located and the Office Centre is not responsible for maintaining the parking lot or other common areas of the building in which the Offices are located.
  • Unless Occupant insurance is waived by the Office Centre which waiver will be confirmed by initialhere:

    the Occupant is responsible for arranging their own insurance policies (including but not limited to their personal equipment, clients, vendors, suppliers, corporate liability on terms from time to time specified by the Office Centre adding the Office Centre as additional insured) and will upon demand of the Office Centre provide copies of same, Telephone installation, Voice-mail, Fax, Internet lines, with their choice of carrier available in the Offices. Work order and assistance can be provided by Reception. Wi-Fi / LAN Internet is provided by the Office Centre. VOIP Phone may be arranged by the Office Centre upon the Occupant’s request and at its expense. The Office Centre is not responsible for the quality or reliability of third party service providers.
    N.B: Internet connection has been installed by a service provider; in case of any disruption, or interruption, etc. due to any cause, the Office Centre is not responsible for any damages suffered as a result of such loss of service, however, reasonable efforts will be made to resolve the matter as soon as possible.
  • The Office Centre shall not be responsible for any loss, injury or damage to Occupants’ property or that of Occupants’ invitees and visitors however caused, and the Occupant shall be responsible for all damages caused to the Offices and its furnishing and equipment except for reasonable wear and tear and the Occupant shall perform and pay for all repairs and replacement thereof during the term of this Agreement. The Occupant will make no alterations to the Unit and will be responsible for all costs, expenses and fees of the Office Centre together with a 10% management fee for any repairs or replacements required by it on account of any breach by Occupant of any term of this Agreement, which sums shall be due and payable by Occupant upon delivery of the Office Centre’s invoice therefor, and collectible by as a fee.
  • Occupant shall forever indemnify and save harmless Office Centre from all costs, expenses, damages, and liability however so arising caused by the negligence or misconduct of Occupant, Occupant’s employees, agents, contractors, and invitees. Occupant shall prior to occupancy provide Office Centre with evidence of insurance satisfactory to Office Centre.
  • Notwithstanding anything in this Agreement to the contrary, the Office Centre reserves the right to terminate this Agreement and/or some or all of the additional services listed on Schedule A when, in the Office Centre’s sole and arbitrary discretion, Occupant’s behavior, business practices, or actions are deemed to be incompatible with the nature and type of business centre operated by the Office Centre; incompatible with the quiet enjoyment of the remainder of the Offices by other users thereof; or contrary to the Criminal Code of Canada. In any such case the Office Centre shall provide the Occupant with five (5) days written notice to rectify the matter and/or vacate the Unit.
  • Either party may terminate this Agreement by providing the other with not less than 90 days’ written notice of its intent to terminate the Agreement; provided that, should Occupant terminate this Agreement prior to the end of scheduled Term then it will repay any discounted rate offered to it as a result of a long term commitment.
  • Occupant shall at all times comply and conform to the requirements of all applicable statutes, laws, by-laws, rules, regulations, ordinances and orders from time to time or at any time enacted by any municipal or governmental authority having jurisdiction over the Offices. Under no circumstances shall Occupant permit the growth or storage of any illegal product, material, or item within the Unit or the Offices.
  • Occupant acknowledges that the Unit forms part of the business centre operated by the Office Centre which will be occupied by others, and Occupant covenants and agrees with the Office Centre for itself and for all persons by him permitted in or about the Offices, not to harass, annoy, obstruct, coerce, threaten or interfere with Office Centre, or any other occupant or user of the Offices or any part thereof, not to commit any unlawful act in breach of any federal, provincial or municipal statute, by-law or regulation, and to maintain the Unit in an ordinary state of cleanliness. For clarity, noise, smoking of tobacco or other substances, unsafe storage, unsightly storage, cooking or causing any odours, as well as a breach of any of the rules and regulations contained herein shall constitute an act of default in the sole and absolute discretion of the Office Centre.
  • Any rules and regulations hereto attached shall in all respects be observed and performed by the Occupant and the employees, servants, agents, invitees, and licensees of the Occupant. All of such rules and regulations now or hereinafter in force shall be read as forming part of the terms and conditions of this Agreement as if the same were embodied herein. The Office Centre shall be entitled to from time to time make such additional and other rules and regulations as it deems necessary in its sole and absolute discretion and such rules shall be binding upon the Occupant upon delivery to Occupant of a copy thereof.
  • This Agreement constitutes the entire agreement between the parties and that there is no condition, collateral agreement, or representation or warranty of any kind, express or implied, except as may be specifically stipulated hereunder.
  • This Agreement is assignable by the Office Centre but is personal and non-assignable by the Occupant.
  • Time shall be of the essence in all respect of this Business Centre Office Agreement.
